Terms of Service

1. Scope of Application

These Terms of Service (“Terms”) govern your access to and use of ToolKit (available at docutools.pro), a suite of online tools for German e-invoicing compliance, XML/JSON processing, and developer utilities (“the Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

ToolKit provides browser-based tools including, but not limited to:

  • XRechnung Viewer — Parsing, validating, and repairing German e-invoices (XRechnung, ZUGFeRD) with GoBD-compliant audit trails.
  • E-Invoice Generator — Creating compliant electronic invoices.
  • Developer Tools — XML Viewer, JSON Formatter, Base64 Encoder, Timestamp Converter, UUID Generator.
  • KOSIT Error Hub — A reference database for XRechnung validation errors with remediation guides.

Results displayed by the tools are for informational purposes. While we strive for accuracy, we cannot guarantee that validation results are exhaustive or replace professional tax/legal advice.

3. Free and Pro Plans

3.1 Free Plan

The Free plan allows limited usage of all tools (e.g., 2 invoice uploads per 24 hours, file size limits). Free plans include advertisements displayed via Google AdSense.

3.2 Pro Plan

The Pro plan (€4.99/month) provides unlimited usage, batch processing, DATEV CSV export, GoBD Vault history, API access, and an ad-free experience. Pro subscriptions are billed monthly through Stripe. You may cancel your subscription at any time through the Stripe customer portal; cancellation takes effect at the end of the current billing cycle.

4. User Obligations

  • You must not use the Service for any unlawful purpose or to process data you are not authorized to handle.
  • You must not attempt to reverse engineer, decompile, or otherwise tamper with the Service.
  • You must not use the Service to overload, disrupt, or interfere with any part of the infrastructure.
  • You are solely responsible for the accuracy and legality of any data you upload or input into the tools.

5. Data Processing & Privacy

Most tools process data entirely within your browser (client-side). For features that require server-side processing (e.g., invoice parsing via the API), uploaded files are processed in-memory and are not stored permanently. Pro user invoice metadata may be stored in the GoBD Vault feature at the user’s discretion.

6. Intellectual Property

All content, design, code, trademarks, and intellectual property of the Service are owned by ToolKit and are protected by applicable copyright and trademark laws. You may not copy, reproduce, distribute, or create derivative works based on the Service without prior written consent.

7. Limitation of Liability

The Service is provided “as is” and “as available.” To the fullest extent permitted by law:

  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
  • We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
  • Our total liability for direct damages shall not exceed the fees paid by you during the 12 months preceding the claim.
  • Validation and repair results are informational and do not constitute legal, tax, or professional advice.

8. Cancellation & Refunds

Pro subscriptions can be cancelled at any time through the Stripe customer portal or by contacting us. Upon cancellation, you retain Pro access until the end of the current billing period. Refunds are handled on a case-by-case basis and are not guaranteed.

9. Modifications to the Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the website. Continued use of the Service after changes constitutes acceptance of the updated Terms.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The courts of the registered business address shall have exclusive jurisdiction, unless mandatory consumer protection provisions dictate otherwise.
